Intellectual Property Rights

1. Ownership of Website Design and Code
   All website design, code, and related assets (the “Web Assets”) created for this project (the “Website”) are owned exclusively by Bryan Pierce (“Developer”). Developer retains all right, title, and interest in these Web Assets, including any and all related intellectual property rights.
2. License to Focus DSCR, Inc.
   Developer grants Focus DSCR, Inc. a perpetual, worldwide, non-exclusive, non-transferable license to use the Web Assets for the purpose of operating, maintaining, and promoting the Website. This license does not permit Focus DSCR, Inc. to sell, transfer, or sublicense the Web Assets without the explicit written consent of Developer.
3. Prohibited Uses
   Focus DSCR, Inc. shall not modify, reverse-engineer, or otherwise create derivative works from the Web Assets without the prior written permission of Developer, except to the extent necessary for normal operation of the Website or as otherwise agreed in writing by both parties.
4. Retention of Rights
   Nothing in these Terms shall be construed to transfer ownership of any intellectual property from Developer to Focus DSCR, Inc., except for the license granted herein. Developer expressly reserves all rights not granted in these Terms.
5. Attribution
   Focus DSCR, Inc. agrees that a notice or attribution of Developer’s ownership of the design and code may be displayed on the Website, provided such notice is unobtrusive and does not interfere with the user experience, unless otherwise agreed upon in writing by both parties.
6. Ownership of Logos, Trademarks, and Branding
   All designs, brand elements, logos, and/or trademarks, including “aipropnvest,” are the exclusive property of Bryan Pierce. This includes any newly created or existing branding and any distinctive brand elements used in conjunction with the Website and associated materials. Unless otherwise specifically agreed in writing, any use of these assets by Focus DSCR, Inc. is subject to the same license described in Section 2 of these Terms.
7. Termination or Revocation of License
   Developer may terminate or revoke the license granted herein at any time for any of the following reasons:
8. Material Breach: If Focus DSCR, Inc. materially breaches these Terms and fails to cure such breach within fourteen (14) days following written notice from Developer.
9. Non-Payment: If Focus DSCR, Inc. fails to pay any fees or costs owed to Developer within fourteen (14) days of written notice of such non-payment.
10. At Developer’s Discretion: Developer may terminate or revoke this license for any reason, at its sole discretion, upon providing fourteen (14) days’ written notice to Focus DSCR, Inc.
